We collect certain information through our website, located at Kaeru CRM Suite (our “Website”). We collect the following Personally Identifiable Information from users who buy our products and services: name, email address, telephone number, address, and credit card number.
In addition, upon using the Service, individual transaction data obtained from your third-party invoicing or accounting application, (“Quickbooks,” “Xero,” “Clio” etc.) information collected via the browser, user-generated content and other information uploaded to the website by the user, in conjunction with your use of the Service may be collected. Information obtained through these means that relates to the user’s client or customer to be invoiced through Kaeru CRM Suite may at times be referred to as “Third-Party Client Information” throughout this Privacy Policy.
Additional information from or about you may also be collected in other ways, including responses to customer surveys and any communications with our customer service team.
We use “cookies” so that our Website can remember you and provide you with the information you’re most likely to need. Kaeru CRM Suite may use certain information about you without identifying you as an individual to third parties. We do this for purposes such as analyzing how the Service is used, diagnosing service or technical problems, maintaining security, and personalizing content.
Information that can be used to identify a person is “Personally Identifiable Information.” This does not include information that has been aggregated or made anonymous. All information is securely stored on our servers in the United States. We employ the highest in industry standards to protect Personally Identifiable Information, as well as any information provided relating to your invoiced customers.
Third-party client and customer information, provided to Kaeru CRM Suite by users, shall be considered confidential and shall not be disclosed to any third party, unless required to do so by law or subpoena or if we believe that such action is necessary to conform to the law, or comply with legal process served on us. Such information shall be utilized only for the purpose for which Kaeru CRM Suite was created, which is to facilitate the billing and collection process for electronic billing of customers and clients.
Although Kaeru CRM Suite utilizes the highest reasonable levels of data security in the industry, we cannot guarantee the security of PII or other information provided to us. By using our Website, you acknowledge and agree that we make no such guarantee, and that you use our Website at your own risk.
Kaeru CRM Suite will not rent or sell your Personal Information to others. We may store personal information in locations outside the direct control of Kaeru CRM Suite (for instance, on servers or databases co-located with hosting providers). Kaeru CRM Suite will share your Personal Information with a limited number of Kaeru CRM Suite partners for the explicit purpose of providing services to you. If we do this, such third parties’ use of your Personal Information will be bound by terms at least as restrictive as this Privacy Policy.
As we develop our business, we may buy or sell assets or business offerings. Customer, transaction, email, and visitor information is generally one of the transferred business assets in these types of transactions. By subscribing to the Kaeru CRM Suite, provided by Kaeru CX, you agree to the following Terms and Conditions.
Kaeru CRM is powered by Go High Level. Kaeru CX is committed to delivering a reliable and high-performing service. However, system downtime or service interruptions on the Go High Level platform are outside our direct control. In the event of any disruptions, we will work diligently with Go High Level to resolve issues as quickly as possible. Kaeru CX is not liable for any losses or damages resulting from such interruptions.
Initial Term: By signing up, you are agreeing to a 12-month commitment. During this initial term, you cannot cancel the subscription, and all fees for the full 12 months will remain due, regardless of cancellation before the term's end.
Post-Initial Term: After the initial 12-month period, you may cancel your subscription at anytime. However, if you cancel, your access to the Kaeru CRM Suite will continue until the end of the current billing cycle, after which no further access will be granted unless a new subscription is initiated.
Onboarding and Payments: Upon initial sign-up, an onboarding fee is due immediately. Subscription payments will begin 30 days after sign-up, based on the monthly or annual payment schedule selected at registration.
Auto-Renewal: Your subscription will automatically renew at the end of each billing period (monthly or annually, depending on your chosen plan above) unless you cancel your subscription before the renewal date. You will be charged the subscription fees in effect at the time of renewal. Subscribers will receive a renewal notice with instructions on how to cancel or modify their subscription at least 30 days before renewal, where required by law.
Sales Tax: Subscription fees may be subject to applicable state and local sales tax, which will be may be added to your bill as required by law at any time. The amount of sales tax charged will depend on the billing address associated with your account and the applicable tax laws in that location.
No Refunds: All fees paid, including onboarding and subscription payments, are non-refundable. No refunds will be provided for any unused portion of your subscription, including cancellations before the end of the current billing cycle. However, residents of certain states may have additional refund rights as required by applicable consumer protection laws.
Additional Charges: Your subscription includes complimentary credits for phone usage and emails (see section 4). If these credits are exceeded, additional fees will apply and will be automatically charged to your credit card on file at the time of charges.
Late Payments: Failure to make timely payments according to your billing schedule will result in a suspension of services. If payment is not received within 30 days, Kaeru CX reserves the right to terminate your subscription.
Access upon Cancellation: If you choose to cancel your subscription, access to the platform will continue until the end of the current billing cycle. At the conclusion of the billing cycle, all access will be discontinued unless a new subscription is initiated.
Transfer of Automations and Account Rights: If you wish to retain full rights to the Kaeru Launch Pad Automations and transfer your account to another agency, a one-time transfer fee of $7,500 will apply. This fee grants you ownership of the Launch Pad Automations, includes the transfer of rights, and provides any Zapier sequences currently in use for your automation.
Transfers can only be initiated after the 12 month . Please note, KaeruCX will not be responsible for any errors, omissions, or automation malfunctions that may occur during or after the transfer.
All Phone Charges and SMS Credits: Each month, your account will be credited with $30 in complimentary phone and other usage credits. Once these credits are exhausted, your account will be automatically charged in $10 increments until the start of the next month when new complimentary credits will be added. Complimentary credits do not roll over to subsequent months.

Email Credits: Your subscription allows for up to 10x the number of subscribed contacts in email sends per month. If you exceed this limit, additional fees of $1.00 per 1,000 emails sent will apply.
Ownership of Automations: All automations provided as part of the Kaeru CRM Suite (Lauch Pad Sales Automations) remain the property of Kaeru CX. These automations are licensed to you for the duration of your subscription but cannot be transferred or used outside the platform without prior consent.
Your Data: While Kaeru CX owns the automations and platform, all customer data, contact lists, and communications data uploaded by you remain your property. Kaeru CX will not use your data for any purposes other than to provide services outlined in this agreement.
Compliance with Data Privacy Laws: You are responsible for ensuring compliance with all applicable data privacy laws, including obtaining the necessary consents for email and SMS marketing communications (e.g., CAN-SPAM Act, TCPA).
Kaeru CX reserves the right to modify pricing, features, and services included in the subscription plan. Any changes will be communicated at least 30 days in advance, and subscribers will have the opportunity to accept the new terms or cancel the service before changes take effect.
You agree to comply with all relevant local, state, and federal regulations governing communication practices, including email marketing (e.g., CAN-SPAM Act) and SMS messaging (e.g., TCPA). Kaeru CX will not be held responsible for any violations arising from improper use of the platform.
Kaeru CX will not be liable for any indirect, special, incidental, or consequential damages arising from your use of or inability to use the Kaeru CRM Suite, even if Kaeru CX has been advised of the possibility of such damages.
Service Availability: While Kaeru CX strives to provide continuous service availability, we are not responsible for any interruptions or downtime that may occur. Kaeru CX is not liable for any loss of business, revenue, or data resulting from such interruptions.
Kaeru CX provides 24/7 support through messaging and email channels within the Kaeru CRM Suite. Your subscription includes support for maintaining the proper function of the platform, as well as updates to fix existing or broken automations. We are committed to ensuring seamless operation and will work diligently with platform developers to address any downtimes, glitches, or issues that may arise.
Please note that the subscription does not cover revamping workflows, implementing new workflows, or building additional automations. These services can be quoted separately and may be included as part of a fractional CTO/COO agreement to expand and enhance process automation.
Service Usage Limits: When your account reachesyour plan’s contact limit, we will notify you, and your subscription will automatically increase as necessary to accommodate additional contacts.
These terms and conditions shall be governed by and construed in accordance with the laws of the state in which Kaeru CX is based, without regard to conflict of law principles. Any disputes arising from or related to this agreement shall be exclusively resolved in the courts of New Jersey.
Subscribers agree to submit to the personal jurisdiction of such courts.
Kaeru CX complies with all applicable state consumer protection laws, including those governing subscription services and auto-renewals. Subscribers are entitled to clear disclosures regarding their subscription plan, renewal terms, and how to cancel their subscription. For certain states, additional consumer rights may apply, which will be communicated to you as required by law.
You agree that any dispute or claim arising out of or relating to these Terms and Conditions, or your use of the Kaeru CRM Suite, will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court. You further agree that any arbitration will take place on an individual basis and that you waive the right to participate in a class-action lawsuit or class-wide arbitration.
This arbitration agreement does not apply to claims you may have under certain state consumer protection laws that specifically prohibit arbitration of such claims, including the right to pursue statutory claims in court.
By subscribing to Kaeru CRM Suite, you acknowledge that you are responsible for reviewing the charges on your account and ensuring timely payment. If you initiate a chargeback with your credit card company or bank for a legitimate subscription charge, Kaeru CX reserves the right to dispute the chargeback and suspend or terminate your access to the platform until the matter is resolved.
Fraudulent Chargebacks: If a chargeback is found to be fraudulent (e.g., claiming the charge was unauthorized when it was in fact legitimate), your account will be permanently terminated. Kaeru CX reserves the right to seek reimbursement and may pursue legal action for any damages caused by a fraudulent chargeback.
Dispute Resolution: If you believe there is an error with your billing or payment, you agree to first contact Kaeru CX’s support team to resolve the issue before initiating any chargeback or dispute with your payment provider.
Kaeru CRM Suite operates on a subscriber-based pricing model. While your account may store an unlimited number of contacts, the subscription tier is determined by the total number of subscribers—defined as contacts actively included in any marketing campaign or smart list within the Kaeru CRM Smart Lists.
Upgrade Policy: If your total number of subscribers exceeds the limit for your current subscription plan, you will be notified. At that time, you will have the option to:
